Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Verdancy App (“Verdancy,” “we,” “us,” or “our”) governing your use of the Verdancy mobile application (the “App”) and related services (together, the “Service”). By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 7 years old (or the minimum age of digital consent in your jurisdiction) and able to form a binding contract to use the Service. If you use the Service on behalf of someone else, you represent that you are authorized to accept these Terms on their behalf.
2. The Service
Verdancy helps you identify plants, diagnose plant-health problems, and manage plant care. Identification, diagnosis, and care guidance are produced in part by automated AI systems.
No guarantee of accuracy. Plant identifications, diagnoses, toxicity information, and care recommendations are provided for general informational purposes only and may be incomplete or incorrect. Verdancy is not a substitute for professional horticultural, veterinary, or medical advice.
- Do not rely on the App to determine whether a plant is safe to eat, touch, or keep around people or animals. If you suspect poisoning or an allergic reaction, contact a medical professional, veterinarian, or poison-control center immediately.
- You are responsible for how you care for your plants and for any decisions you make based on the Service.
3. Your account
You may sign in using Sign in with Apple, Google, or email. You are responsible for maintaining the security of your account and for all activity under it. Notify us at verdancy.contact@gmail.com if you believe your account has been compromised.
4. Subscriptions, billing, and cancellation
Some features require a paid subscription (“Premium”). Subscriptions are sold and billed through the Apple App Store, and payment is managed by Apple, not by us.
- Billing. Payment is charged to your Apple ID account at confirmation of purchase.
- Auto-renewal. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the end of the current period.
- Managing and cancelling. You can manage or cancel your subscription in your Apple ID account settings. Cancellation takes effect at the end of the current billing period.
- Free trials or promotions, if offered, are subject to their stated terms; unused portions are forfeited when you purchase a subscription.
- Refunds are handled by Apple in accordance with the App Store's policies. We generally cannot issue refunds directly.
- Price changes. We may change subscription prices; changes apply to future billing periods and, where required, only after notice to you.
Free (non-subscriber) use may be subject to daily limits, such as a limited number of free plant identifications per day.
5. Environmental and “tree” features
The Service may include features that reference trees, pledges, or environmental milestones. Any such feature is described in the App at the time it is offered, and any related commitments are subject to the specific terms presented there. Unless expressly stated, in-app milestones are motivational features and are not a guarantee of any specific third-party donation on your behalf.
6. Your content and license
Your content. You retain ownership of the photos, notes, and other content you submit (“Your Content”).
License to us. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, and display Your Content solely to operate and provide the Service to you, including sending photos to our AI provider to generate results. This license ends when you delete Your Content or your account, except for content already processed and not retained, and limited backups or records required by law.
Your responsibilities. You represent that you have the rights to the content you submit and that it does not violate any law or third-party right. Do not upload content that is illegal, infringing, or that contains other people's personal information without permission.
7. Acceptable use
You agree not to:
- Reverse engineer, decompile, or attempt to extract source code, except where permitted by law.
- Access the Service through automated means, scrape it, or circumvent rate limits, quotas, or security controls.
- Attempt to access another user's account, data, or images.
- Interfere with, overload, or disrupt the Service or its infrastructure.
- Use the Service to build a competing product or to train a machine-learning model.
- Use the Service for any unlawful purpose or in violation of these Terms.
We may suspend or terminate access for violations.
8. Intellectual property
The Service, including its software, design, text, and the Plant Buddy artwork, is owned by Verdancy or its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-transferable, non-exclusive license to use the App on Apple devices you own or control, in accordance with the App Store Terms of Service and these Terms. All rights not expressly granted are reserved.
9. Third-party services
The Service relies on third parties, including Apple, Amazon Web Services, Google (Gemini AI), and RevenueCat. Your use of the Service may also be subject to their terms. We are not responsible for third-party services, and their availability is outside our control.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PLANT IDENTIFICATIONS, DIAGNOSES, TOXICITY INFORMATION, OR CARE GUIDANCE ARE ACCURATE, COMPLETE, OR RELIABLE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERDANCY AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PLANTS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US $50.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Verdancy from any claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service, your content, or your violation of these Terms or any law or third-party right.
13. Termination
You may stop using the Service at any time and may delete your account. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including Sections 6–12) will survive.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, notify you in the App. Your continued use of the Service after changes take effect constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Any dispute will be resolved in the courts located in Alberta, Canada, unless applicable law requires otherwise.
16. Apple-specific terms
These Terms are between you and Verdancy, not Apple. Apple is not responsible for the Service or its content. Apple has no obligation to provide support or handle warranty claims for the App; those are our responsibility to the extent required. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-parties list.
